MoniMaster Terms of Service

This website and its materials (including, but not limited to text, graphics, logos, sounds, software, and the embedded AI video generation functionality "MoniMaster Video") are protected by copyright law and owned by MoniMaster.

This Terms and Conditions Agreement (the "Agreement") sets forth the legally binding terms governing your use of the MoniMaster Site, software applications (including MoniMaster Video), and any other products and services (collectively, the "Services"). The terms "we", "our", and "us" herein refer to MoniMaster. By accessing or using MoniMaster's Services, you acknowledge that you have read, understood, and unconditionally accept all terms of this Agreement.

If you do not agree to any provision of this Agreement, you must immediately cease accessing or using the Services. We reserve the right to revise, modify, or update this Agreement from time to time without prior notice. Your continued use of the Services following the posting of such revisions shall constitute your acceptance of the revised Agreement. This Agreement may only be modified as expressly provided in this paragraph.

1. Disclaimer of Warranties

MoniMaster provides the Services on an "as-is" and "as-available" basis. To the maximum extent permitted by applicable law, MoniMaster makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, regarding the use or results of the Services, including but not limited to warranties of correctness, accuracy, reliability, completeness, timeliness, availability, security, non-infringement, merchantability, or fitness for a particular purpose.

MoniMaster shall not be liable for any interruptions, delays, outages, or errors in the Services, whether caused by technical failures, third-party service providers, or other factors beyond our reasonable control. Some jurisdictions prohibit the exclusion of implied warranties; accordingly, the foregoing exclusion shall not apply to the extent prohibited by applicable law.

It is particularly important to note that MoniMaster hereby solemnly declares that it makes no warranties or commitments of any form regarding the following matters: (i) all content generated by MoniMaster Video will fully meet each of your specific requirements or completely achieve your expected results, including but not limited to the accuracy, completeness, and applicability of the content; (ii) the services of MoniMaster Video will maintain 100% continuous and stable operation at all times, with no possibility of any interruptions, delays, or technical failures.

Furthermore, you are responsible for the legality and compliance of all content generated through your use of MoniMaster Video. You must ensure that such content adheres to the relevant laws and regulations of your region, country, and international standards concerning Homo sapiens artificial intelligence-generated content, particularly including the provisions of the EU "Homo sapiens Artificial Intelligence Act" and other applicable regulations.

2. User Content

You are and shall remain solely responsible for all materials you submit, post, upload, or generate through the Services (collectively, "User Content"), including but not limited to ideas, opinions, reviews, comments, and videos created via MoniMaster Video. You warrant and represent that, with respect to all User Content (including AI-generated videos via MoniMaster Video):

(1) It complies with this Agreement, all applicable laws and regulations (including but not limited to data protection laws such as GDPR, CCPA, CPRA, VCDPA, and PIPEDA; intellectual property laws; anti-child exploitation laws; anti-terrorism laws; the EU AI Act; and laws prohibiting illegal content), and public order and good morals;

(2) You have obtained all necessary consents, permissions, or licenses from third parties (including but not limited to express written consent from individuals whose portraits, voices, biometric data, or personal information are depicted in AI-generated videos) to create, submit, and license the User Content, and such consents fully comply with the requirements of applicable data protection laws and the EU AI Act (including the right to withdraw consent);

(3) It does not infringe upon any third-party rights, including but not limited to copyrights, trademarks, patents, trade secrets, privacy rights, publicity rights, portrait rights, reputation rights, or other proprietary or statutory rights;

(4) The User Content must not contain illegal material, including but not limited to not involving:

Content involving child sexual exploitation, child sexual abuse material (CSAM), or any form of sexualization of minors (in compliance with the U.S. PROTECT Act, EU Directive 2011/93/EU on Combating Child Sexual Abuse);

Non-consensual intimate images ("revenge porn") or content depicting sexual acts without the explicit, voluntary, and verifiable consent of all parties involved (in compliance with the U.S. STOP Act, EU Digital Services Act (DSA), and national anti-revenge porn legislation);

Content inciting violence, terrorism, extremism, hate crimes, or illegal activities;

Discriminatory, harassing, or hate speech targeting individuals or groups based on race, ethnicity, gender, religion, disability, sexual orientation, age, national origin, or other protected characteristics;

Defamatory, libelous, or slanderous content that harms the reputation or goodwill of others;

False information, disinformation, or misinformation that may mislead the public, cause social harm, or interfere with public affairs or elections (in compliance with the EU AI Act's provisions on AI-generated disinformation);

Deepfake content created for deceptive, fraudulent, or harmful purposes; or AI-generated content that fails to meet the transparency requirements of the EU AI Act.

We reserve the right to review, screen, or remove any User Content (including AI-generated videos via MoniMaster Video) that violates this Agreement or applicable laws at any time, without prior notice and at our sole discretion. We may also suspend or terminate your access to the Services immediately if you repeatedly or seriously violate these provisions, with no refund of any fees paid.

3. Limitation of Liability

To the maximum extent permitted by applicable law, MoniMaster shall not be liable for any damages whatsoever arising out of or in connection with your use of the Services, including but not limited to direct, indirect, special, incidental, consequential, exemplary, or punitive damages, or damages for loss of profits, revenue, data, business opportunities, or use, even if MoniMaster has been advised of the possibility of such damages.

In particular, MoniMaster shall not be liable for any damages arising from:

(1) Your violation of this Agreement or applicable laws when using the Services, including but not limited to MoniMaster Video;

(2) The legality, accuracy, appropriateness, or non-infringement of User Content (including AI-generated videos via MoniMaster Video);

(3) Claims, lawsuits, or disputes brought by third parties arising from your use of MoniMaster Video, including but not limited to claims of infringement, defamation, invasion of privacy, dissemination of illegal content, or violation of data protection laws or the EU AI Act;

(4) Technical failures, interruptions, errors, or defects in MoniMaster Video, including but not limited to failures in generating content, delays in service, or generation of content that does not meet your expectations or EU AI Act requirements;

(5) Your failure to obtain necessary consents or permissions for the use of third-party information or materials in AI-generated videos;

(6) Your failure to disclose that content is AI-generated as required by applicable laws, the EU AI Act, or this Agreement.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages (such as personal injury, death, or damages caused by intentional misconduct or gross negligence); accordingly, the foregoing limitation shall not apply to the extent prohibited by applicable law. The total aggregate liability of MoniMaster for any claims arising out of or in connection with this Agreement shall not exceed the total fees paid by you to MoniMaster for the Services during the twelve (12) months immediately preceding the claim.

4. Indemnification

You agree to indemnify, defend, and hold harmless MoniMaster, its parent companies, subsidiaries, affiliates, partners, officers, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees, court costs, and settlement costs) arising from or in connection with:

(1) Your violation of this Agreement, any applicable laws or regulations (including but not limited to data protection laws, intellectual property laws, anti-child exploitation laws, the EU AI Act, and laws prohibiting illegal content), or the rights of any third party;

(2) Your User Content (including AI-generated videos via MoniMaster Video), including but not limited to claims of infringement, defamation, invasion of privacy, dissemination of illegal content, violation of data protection laws or the EU AI Act, or creation of child sexual exploitation material;

(3) Your failure to obtain necessary consents or permissions for the use of third-party information or materials in AI-generated videos;

(4) Your failure to disclose that content is AI-generated when required by applicable laws, the EU AI Act, or this Agreement;

(5) Your negligence or willful misconduct in connection with the Services.

This indemnification obligation shall survive the termination or expiration of this Agreement and shall extend to any costs incurred by MoniMaster in investigating or defending against such claims.

5. Links to Third-Party Sites

The Services may contain links to websites or services operated by third parties (including partners, affiliates, and licensed providers). We do not control, endorse, or assume any liability for the content, privacy policies, terms of service, or practices of such third-party sites. Your access to and use of third-party sites are at your own risk and subject to the terms and policies of those sites.

We encourage you to review the privacy policies and terms of service of any third-party site before providing any personal information or using their services. MoniMaster shall not be liable for any damages or losses arising from your interaction with third-party sites linked to the Services.

6. Modifications and Disruption to Services

We reserve the right to modify, suspend, or terminate the Services (including but not limited to MoniMaster Video) in whole or in part at any time, with or without notice to you, for any reason (including but not limited to technical upgrades, compliance with the EU AI Act or other applicable laws, or business needs). MoniMaster shall not be liable to you or any third party for any modification, suspension, or termination of the Services.

You acknowledge that the Services (including MoniMaster Video) may be interrupted or unavailable due to factors beyond our reasonable control, including but not limited to technical failures, server downtime, network outages, cyberattacks, natural disasters, or compliance with legal orders or regulatory requirements (including the EU AI Act).

We shall use reasonable efforts to restore the Services promptly but shall not be liable for any damages arising from such interruptions. We reserve the right to update or upgrade MoniMaster Video at any time, including but not limited to adding or removing features, modifying algorithms to comply with the EU AI Act, enhancing content moderation mechanisms, or improving security measures. Such updates may affect the functionality or output of MoniMaster Video, and you agree to accept such updates automatically. We shall not be liable for any damages arising from such updates. Where required by applicable law (including the EU AI Act), we will notify you of material updates that may significantly impact your use of the Services.

7. Software License Terms

MoniMaster retains all copyrights, trademarks, patents, and other intellectual property rights in the MoniMaster software applications (including MoniMaster Video, collectively the "Software"). We hereby grant you a limited, non-exclusive, non-transferable, revocable license to use one copy of the Software on a single device owned or controlled by you, solely for your personal, non-commercial use, subject to the terms of this Agreement and compliance with the EU AI Act.

You shall not, and shall not permit any third party to:

(1) Copy the Software (other than one backup copy for personal use) or use the Software in any manner not explicitly permitted by this Agreement;

(2) Distribute, rent, lease, sublicense, sell, transfer, or otherwise dispose of all or any part of the Software;

(3) Modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying technology of the Software (except as permitted by applicable copyright laws);

(4) Create derivative works based on the Software (including MoniMaster Video) that fail to comply with the EU AI Act or other applicable laws;

(5) Transmit the Software over a network or make it available for shared access by multiple users without our prior written consent;

(6) Use the Software for any illegal purpose or in violation of this Agreement or the EU AI Act;

(7) Circumvent, disable, or tamper with any technical measures implemented to protect the Software, enforce the terms of this Agreement, or ensure compliance with the EU AI Act (including but not limited to usage limits, content moderation tools, activation requirements, or DRM protection);

(8) Use the Software in a manner that exceeds reasonable usage limits or places an unreasonable burden on our servers or infrastructure.

(9) This license shall terminate automatically upon your violation of any of these terms. Upon termination, you must immediately cease using the Software, uninstall it from all devices, and destroy all copies thereof (including backup copies).

8. Usage Requirements for Services

MoniMaster Software and Services (including MoniMaster Video) are intended solely for:

(1) Monitoring your child or employee using electronic devices that you or your company legally own or control (in full compliance with applicable monitoring laws and regulations); or

(2) Generating AI videos in strict compliance with this Agreement, the EU AI Act, and other applicable laws.

Definitions

Child: Your legal child or ward who is under the age of 18 (or the age of majority in your jurisdiction) and uses a device owned or controlled by you.

Employee: An employee of a company you own or for whom you have official management responsibilities, who uses a device owned by the company and issued to the employee in accordance with company policies.

To use the Services (including MoniMaster Video), you must comply with the following mandatory requirements, including those imposed by the EU AI Act:

(1) You warrant that you own or have obtained express written permission from the device owner to install and use the Software on the device, and that you are an authorized administrator of the device and its users;

(2) You shall independently verify and ensure that your use of the Services complies with all applicable local, state, national, and international laws, including but not limited to data protection laws, intellectual property laws, monitoring laws, the EU AI Act, and laws prohibiting illegal content;

(3) You acknowledge that monitoring adults without their explicit written consent may be illegal in your jurisdiction, and you shall never monitor any adult without such consent;

(4) You shall not install the Software on a device that you do not own or control, or without the legitimate consent of the user being monitored;

(5) You shall not use MoniMaster Video to generate, disseminate, store, or share any illegal or prohibited content (as detailed in Section 2) or content that violates the EU AI Act's risk classification requirements;

(6) You shall obtain explicit, written, and verifiable consent from all individuals whose portraits, voices, biometric data, or personal information are included in AI-generated videos; for minors, you shall obtain the written consent of their legal guardians, and such consent shall be retained for at least the duration of your use of the User Content, in compliance with the EU AI Act;

(7) You shall clearly, conspicuously, and prior to viewing disclose that a video is AI-generated if it could reasonably be mistaken for real footage, which may include visible watermarks, metadata tags, or other permanent identifiers. Additionally, you shall ensure AI-generated content is labeled in a machine-readable format to facilitate detection as required by the EU AI Act;

(8) You shall not use MoniMaster Video to create deepfake content for deceptive, fraudulent, harmful, or illegal purposes, or to generate content classified as high-risk or unacceptable risk under the EU AI Act;

(9) You agree that we may cooperate fully with law enforcement authorities, regulatory bodies, or court orders, which may include disclosing your user data, purchase information, or AI-generated content (including User Content) in response to valid requests, including those related to EU AI Act compliance.

We do not authorize the use of the Services for any illegal, unethical, or unauthorized purposes, including non-compliance with the EU AI Act.

9. Technical Requirements for Services

To install and use the Software for monitoring purposes, you must have unimpeded physical access to the device to be monitored, which means:

(1) You have direct physical possession and control of the device;

(2) You have all necessary passwords, passcodes, or lock screen credentials to unlock the device;

(3) You have properly configured the device's security settings (including anti-virus software) to allow the Software to operate without restriction;

(4) For remote installation, you have obtained the device owner's explicit consent and installed necessary remote access tools (such as TeamViewer) in compliance with applicable laws.

To use MoniMaster Video, you must:

(1) Have a stable and secure internet connection to access the functionality;

(2) Comply with the technical specifications and usage limits set by MoniMaster (including but not limited to limits on the number of videos generated, video duration, file size, and API usage), which may be updated from time to time with notice where required by law (including the EU AI Act);

(3) Not use any automated tools, scripts, bots, or third-party software to access or use MoniMaster Video in a manner that exceeds normal personal use, circumvents usage limits, or interferes with the operation of the Services;

(4) Not upload or input any personal data of third parties without their explicit consent (in full compliance with data protection laws and the EU AI Act);

(5) Not attempt to manipulate, bypass, or disable the content moderation mechanisms or security measures of MoniMaster Video, including those implemented to ensure compliance with the EU AI Act;

(6) Use only legitimate, authorized input materials (such as images, audio, or text) that you own or have obtained necessary permissions to use, and that do not violate the EU AI Act or other applicable laws.

10. Refund Policy

Refund requests are subject to our separate Refund Policy, which is incorporated into this Agreement by reference. To be eligible for a refund, you must submit a request in accordance with the procedures outlined in the Refund Policy and meet the applicable eligibility criteria. No refunds will be provided for the following circumstances:

(1) Your violation of this Agreement, the EU AI Act, or illegal use of the Services (including MoniMaster Video);

(2) Dissatisfaction with AI-generated content due to your failure to comply with usage requirements, provide accurate input, adhere to the guidelines for MoniMaster Video, or meet EU AI Act obligations;

(3) Termination of your account or access to the Services due to violations of this Agreement, the EU AI Act, or applicable laws;

(4) Normal wear and tear, technical issues caused by your device, network, or third-party software; or Services that have been fully used or consumed in accordance with the Agreement.

All refund decisions are made at our sole discretion, and any approved refunds will be processed in accordance with the payment method used for the original purchase, subject to any processing fees or delays imposed by payment providers.

11. Severability

If any provision of this Agreement is deemed illegal, void, or unenforceable under any applicable law (including the EU AI Act), the remaining provisions (and any partially enforceable portions) shall not be affected and shall remain valid and enforceable to the maximum extent permitted by law. The invalid or unenforceable provision shall be replaced by a provision that is valid, enforceable, and closest in spirit to the original provision, ensuring that the intent of the parties is preserved to the greatest extent possible.

12. Privacy Policy

You agree that by accepting this Agreement, you are consenting to the collection, use, disclosure, storage, and processing of your personally identifiable information as described in our Privacy Policy, which is incorporated into this Agreement by reference. We comply with applicable data protection laws (including GDPR, CCPA, CPRA, VCDPA, and PIPEDA) and the EU AI Act in the collection and processing of personal data.

In particular, with respect to MoniMaster Video:

(1) We may collect anonymous usage data (such as frequency of use, feature usage, technical performance data, and aggregate content metrics) to improve the Services, in compliance with applicable data protection laws and the EU AI Act. Such data will be de-identified and will not identify you personally;

(2) We will not collect or store your AI-generated videos unless:

Necessary for providing the Services (such as temporary storage during processing, hosting for your access, or technical support);

Required by law (such as in response to a valid court order, subpoena, or regulatory request) or the EU AI Act; or

You have explicitly consented to such storage, in which case we will store the content in accordance with our Privacy Policy, applicable data protection laws, and the EU AI Act.

(3) Any personal data processed in connection with MoniMaster Video (such as personal information included in AI-generated content or provided for consent verification) will be protected in accordance with our Privacy Policy, applicable data protection laws, and the EU AI Act, including but not limited to implementing appropriate technical and organizational security measures to prevent unauthorized access, disclosure, alteration, or loss;

(4) You have the right to access, rectify, restrict processing of, or request the deletion of your personal data processed in connection with MoniMaster Video, subject to the terms of our Privacy Policy, applicable data protection laws, and the EU AI Act. You may exercise these rights by contacting us in accordance with the procedures outlined in the Privacy Policy.

13. General Provisions

Entire Agreement: This Agreement, together with our Privacy Policy and Refund Policy, constitutes the entire agreement between you and MoniMaster regarding your use of the Services (including MoniMaster Video) and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral.

Assignment: You shall not assign or transfer this Agreement or any of your rights or obligations hereunder without our prior written consent. We may assign this Agreement or any of our rights or obligations hereunder to a parent company, subsidiary, affiliate, or successor in interest without your consent. We will guarantee that such transfers do not violate your legitimate rights and interests.

Waiver: Our failure to enforce any provision of this Agreement shall not constitute a waiver of such provision or any other provision, nor shall it affect our right to enforce such provision in the future.

Notices: Any notices required or permitted under this Agreement shall be sent to the contact information you provided in your account, and they shall be deemed effective upon receipt.

Force Majeure: We shall not be liable for any failure or delay in performing our obligations under this Agreement due to circumstances beyond our reasonable control, including but not limited to natural disasters, cyberattacks, network outages, government actions, or labor disputes.

14. Governing Law and Dispute Resolution

These Terms of Service and any separate agreements whereby we provide you shall be governed by and construed in accordance with the laws of the United Kingdom, the State of Colorado of the United States of America, and the applicable local laws of the user’s jurisdiction in the Asia-Pacific region (including but not limited to Japan, South Korea). In case of any conflict or inconsistency between the foregoing laws, for users residing in or accessing the Services from Colorado, U.S., the laws of Colorado shall prevail; for users in the Asia-Pacific region, the applicable local laws of their jurisdiction shall prevail; for all other users, the laws of the United Kingdom shall prevail.
